Y-Axis Talent Cloud

Employer Terms of Use and Employer Data Use Terms

Terms for employers, recruitment agencies and their Authorised Users on the Y-Axis Talent Cloud

How these Terms are accepted

These Terms are accepted for each Employer Account by an individual who confirms that they are authorised to bind the Employer. Acceptance is recorded in the YTC consent log (user, timestamp, IP address/device, version and wording hash). Each additional Authorised User accepts these Terms individually on first login. No Candidate Data is displayed to any user of an Account until the Account has (a) accepted these Terms and (b) reached at least the Verified Business level of the Employer Trust Ladder (Schedule 1).

Part A — Employer Terms of Use

2. What YTC is and is not

2.1 YTC is a talent platform through which Candidates who have chosen to be discoverable may be found and contacted by Employers, and through which Employers may post Requisitions and receive applications.

2.2 In providing the Platform, Y-Axis is not a recruitment agency, employment business, sponsor, immigration adviser or party to any employment relationship arising from YTC. Y-Axis does not select Candidates for you, does not warrant that any Candidate will accept an offer or obtain a visa, and does not warrant the accuracy of Candidate-supplied information beyond what a displayed Verified status expressly covers (Clause 6).

2.3 Y-Axis's separate services (immigration consulting, verification) are offered under their own terms and are not included in these Terms unless expressly ordered.

3. Eligibility, the Trust Ladder and truthful representations

3.1 Only organisations with a genuine hiring need (direct employers, and licensed recruitment agencies acting under a written Client mandate) may hold an Account. Individuals, data brokers, lead-generation businesses, sellers of training or immigration services, and competing platforms may not.

3.2 Access to Candidate Data depends on the Trust Ladder level the Account has reached (Schedule 1). Y-Axis may verify business registration, sponsor licences, domain ownership, hiring history and the identity of Authorised Users, and may downgrade, suspend or refuse a level where verification fails or misuse is suspected.

3.3 The Employer warrants that: (a) every Requisition is genuine and current (b) all statements made to Candidates about the role, the employing entity, salary and benefits, location, working conditions and sponsorship or work-permit support are accurate and not misleading (c) it holds any sponsor licence or work-permit authorisation it claims (d) it will never charge a Candidate any fee, deposit or cost in connection with a role sourced through YTC and (e) it will comply with the recruitment, employment, immigration, data-protection and anti-discrimination laws of every jurisdiction in which it hires.

3.4 Prohibited scams. Without limiting Clause 3.3, the Employer must not engage in, facilitate or allow: advance-fee or "processing fee" requests fake or conditional job offers requests for identity, financial or other documents not genuinely required for a live recruitment step (document harvesting) requests for payment or banking details off the Platform impersonation of Y-Axis, YTC or any other organisation or any other deceptive recruitment practice. Any such conduct is a material breach entitling Y-Axis to terminate immediately and to refer the matter to the relevant authorities.

4. Accounts and Authorised Users

4.1 The Employer must keep its Account information accurate, add only its own personnel as Authorised Users, remove users within 2 business days of their leaving, and ensure that each user keeps credentials confidential. Shared logins are prohibited.

4.2 The Employer is responsible for all activity under its Account, including by former users whose access it failed to remove, and must notify ytc.support@y-axis.com within 24 hours of any suspected unauthorised access.

4.3 Agencies must record the Client for each Requisition. Candidate Data accessed for one Client may not be used for another without a fresh, independent search and a live Requisition for that Client.

5. Permitted use

5.1 The Employer may use the Platform and Candidate Data solely to: search for and evaluate Candidates for Requisitions contact Candidates through YTC messaging (and, where the Candidate has enabled contact sharing, by the contact details shown) post Requisitions and manage applications; and manage its own Account.

5.2 All use of Candidate Data is also governed by Part B. Where Part A and Part B differ, Part B prevails as to Candidate Data.

6. Verification signals, scores and curated pools

6.1 Employer trust levels. Y-Axis checks each level of the Trust Ladder as follows: Verified Business - business registration against the public register and the identity of the authorised signatory Licensed Sponsor the sponsor licence or work-permit authorisation for the hiring jurisdiction Proven Hirer - hiring history on YTC without substantiated complaint for 12 months. The checks are carried as the Employer Verification Standard.

6.2 Candidate Verified statuses (Verification Level-1 Identity and location, Verification Level-2 Education and Employment, Verification Level-3 Language, Verification Level-4 Skills Test, Verification Level-5 Culture readiness) mean that Y-Axis or a designated provider checked the stated fact by the method described in the Verification Standard at a point in time. A Verified status is not a guarantee, does not replace the Employer's own pre-employment and right-to-work checks, and does not transfer any liability to Y-Axis. Underlying documents are never shown to Employers.

6.3 Global Indian Score (GIS) and tiers are rule-based indicators computed from the Candidate's profile using the published methodology. The Employer must not treat any score, tier or pool label as a determination of suitability, must not use it as the sole basis for rejecting a Candidate, and must apply its own human judgment to every hiring decision. Odds-Meter is shown only to Candidates and is not available to Employers.

6.4 Curated pools (for example "Best & Brightest") contain Candidates who met stated criteria. Inclusion is not a recommendation or endorsement of a Candidate for a specific role.

6.5 Y-Axis may change the methodology, thresholds and presentation of scores and verification with notice.

7. Job posting and applications

7.1 Postings must be for genuine Requisitions must accurately describe the role, employing entity, location, sponsorship position and remuneration where the law of the hiring location requires disclosure and must not contain discriminatory requirements or language, misleading claims, or content unlawful in the hiring location.

7.2 Y-Axis may review, edit for format, decline or remove postings, and may display them alongside listings aggregated from other public sources, with attribution.

7.3 Applications received through YTC are Candidate Data. The Employer must acknowledge or respond to applicants within a reasonable time and must not use application data for any purpose other than that Requisition.

8. Fees and payment

8.1 Fees for employer services are set out in the Employer Price List and at the point of order. Fees are exclusive of taxes, payable in advance unless an invoice term is agreed in writing, and non-refundable except where Y-Axis fails to provide the service.

8.2 Y-Axis may suspend access for non-payment after 7 days' notice. Access granted under a promotional or launch period may be withdrawn or converted to paid access on 7 days' notice.

8.3 No placement or success fee is payable under this version. If a success-fee model is introduced, it will be by a separate order form. Nothing in these Terms restricts the Employer from hiring a Candidate met through YTC.

9. Intellectual property

9.1 The Platform, its taxonomies, scoring methodology, search technology, brand and content are owned by Y-Axis or its licensors. The Employer receives a non-exclusive, non-transferable, revocable right to use the Platform under these Terms and no other right.

9.2 The Employer owns its postings, logo and content and grants Y-Axis a licence to host, display, distribute and format them for the purposes of the Platform, including display to Candidates and in aggregated listings.

9.3 The Employer may not copy, frame, mirror, scrape, reverse-engineer or build a product or dataset from the Platform.

10. Confidentiality

Each party will keep the other's non-public information confidential and use it only for the purposes of these Terms. Candidate Data is confidential information of the Candidate and of Y-Axis, whether or not marked as such. This Clause does not restrict disclosures required by law, made with notice where lawful.

11. Monitoring, audit, candidate reports and enforcement

11.1 Y-Axis logs every Candidate profile view, search, message, download (if enabled) and export under the Account, and may show Candidates which Employer accessed their data.

11.2 Y-Axis may apply rate limits, pattern detection and manual review; may require the Employer to attest to its use of Candidate Data and may, on 10 business days' notice (or without notice where misuse is reasonably suspected), audit the Employer's compliance with Part B, including by requesting evidence of deletion.

11.3 On any complaint by a Candidate or reasonable suspicion of misuse, Y-Axis may immediately suspend the Account or specific features pending investigation. Y-Axis will inform the Employer of the substance of the concern and allow a response within 5 business days.

11.4 Candidate reports. Candidates can report any employer profile, posting or message. Y-Axis reviews each report within 2 business days, may suspend the Account immediately pending investigation, and informs the reporting Candidate of the outcome. Repeated or substantiated fraud, scams or misuse will result in removal from the Platform and may be referred to the police, regulators or other competent authorities.

12. Suspension and termination

12.1 Either party may terminate on 30 days' written notice. Y-Axis may terminate immediately for material breach, misuse of Candidate Data, conduct prohibited by Clause 3.4, false statements in verification, insolvency, or a legal or regulatory requirement.

12.2 On termination: access ends the Employer must delete Candidate Data it holds except as Part B permits for live applications and legal retention fees paid for the remainder of a committed period are not refunded where termination is for the Employer's breach and Clauses 6, 9–11, 13–16 and Part B survive.

13. Warranties and disclaimers

Y-Axis will provide the Platform with reasonable skill and care and in accordance with the service description. Otherwise, to the extent permitted by law, the Platform is provided "as is" and "as available". Y-Axis does not warrant uninterrupted operation, the accuracy or completeness of Candidate Data or automated outputs, the number or quality of Candidates available, or that any Candidate is available for or eligible to work in any location.

14. Limitation of liability

14.1 Nothing limits liability for death or personal injury caused by negligence, for fraud, for the Employer's breach of Part B, or any liability that cannot be limited by law.

14.2 Subject to Clause 14.1, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data; and Y-Axis's total liability arising out of these Terms in any 12-month period is limited to the greater of the fees paid by the Employer for the Platform in that period.

14.3 The cap in Clause 14.2 does not apply to the Employer's liability for misuse of Candidate Data, breach of Clause 3.4 or Clause 10, or infringement of Y-Axis's intellectual property.

15. Indemnity

The Employer will indemnify Y-Axis and its group companies against losses, claims, regulatory penalties and reasonable costs arising from: the Employer's or its Authorised Users' breach of Part B or Schedule 2; any claim by a Candidate arising from the Employer's use of Candidate Data or its recruitment conduct; unlawful or misleading postings; false representations under Clause 3.3 or conduct prohibited by Clause 3.4; and any Client's use of Candidate Data supplied by an agency Employer.

16. Governing law and disputes

16.1 These Terms are governed by the laws of India.

16.2 The parties will resolve any dispute by escalation to senior management within 30 days.

16.3 Nothing prevents either party from seeking injunctive or other interim relief in any competent court to protect Candidate Data or intellectual property.

17. Changes

Y-Axis may change these Terms. Non-material changes take effect 15 days after in-portal notice. Material changes (fees, liability, Part B obligations, dispute resolution) take effect no sooner than 30 days after email and in-portal notice and require the Account administrator to accept the new version before continued access the Employer may terminate without penalty within that period if it does not accept. Each version carries a version number and effective date.

18. General

These Terms are the entire agreement between the parties about the Platform. If any provision is unenforceable, the rest remain in force. No delay is a waiver. Y-Axis may assign these Terms to a group company or successor on notice the Employer may not assign them without Y-Axis's written consent. Notices are sent by email to the addresses on record. Nothing creates a partnership, agency or joint venture. The Employer may not use the Y-Axis or YTC name in publicity without consent. English governs.

Part B — Employer Data Use Terms (Candidate Data)

These terms govern every item of Candidate Data the Employer receives through YTC. They are written so that Candidates and regulators can read them on their own.

B1. Roles

B1.1 Y-Axis is the data fiduciary / controller of the Candidate's YTC record. Candidate Data is shown to the Employer on the basis of the Candidate's own Visibility Scope choice and this contract. Y-Axis remains responsible for the lawfulness of that disclosure, for logging it and for telling the Candidate who received it.

B1.2 The Employer is an independent data fiduciary / controller for its own processing of Candidate Data, including its evaluation, records, hiring decisions and any copy it makes or retains. The Employer is not Y-Axis's processor and Y-Axis is not the Employer's processor. Where the Employer is an agency, the Client is a further independent controller, and the Employer must bind the Client to obligations no less protective than this Part B.

B1.3 The Employer will comply with the data-protection, employment and anti-discrimination laws that apply to it and will maintain its own lawful basis for its processing.

B2. Purpose limitation

B2.1 The Employer may process Candidate Data only to: identify and evaluate Candidates for a specific Requisition contact Candidates about that Requisition progress an application the Candidate has chosen to make and keep the records the law requires of that recruitment process.

B2.2 The Employer must not process Candidate Data for any other purpose, including talent pooling beyond the Requisition for which it was accessed, market research, salary or skills benchmarking, marketing of any product or service, immigration or training offers, or verification of individuals for non-recruitment purposes.

B3. Prohibited conduct

The Employer and its Authorised Users must not:

(a) sell, license, rent or disclose Candidate Data to any third party outside the recruitment chain for the Requisition (the Employer, its Client under mandate, background-check providers engaged for that Candidate with the Candidate's knowledge, and professional advisers bound by confidentiality)

(b) scrape, crawl, bulk-view, bulk-export, systematically copy or screenshot Candidate Data, or use any automated tool, browser extension or AI agent to extract it

(c) build, enrich or contribute Candidate Data to any database, CRM talent pool, applicant-tracking record or list beyond the record needed for the Requisition and the retention period in B6

(d) contact Candidates for any purpose other than the Requisition, contact Candidates who have declined or withdrawn, or contact Candidates outside YTC where they have not enabled contact-detail sharing

(e) use Candidate Data to train, fine-tune, evaluate or prompt any machine-learning or AI system, other than the Employer's own applicant-tracking tools processing a live application under human oversight

(f) make any decision producing legal or similarly significant effects for a Candidate solely by automated means, including automated screening-out based on GIS, tier or work-authorisation flags, without meaningful human review

(g) attempt to re-identify anonymised or aggregated data, or to derive protected characteristics from Candidate Data

(h) discriminate, or filter, rank or reject Candidates, on the basis of nationality, ethnicity, religion, caste, sex, gender identity, sexual orientation, age, disability, marital or family status, pregnancy, trade-union membership or any other characteristic protected in the hiring location. YTC provides no filters on protected characteristics and the Employer must not try to replicate them. Nationality and work-authorisation data are provided solely to assess right to work and sponsorship route and may not be used as a proxy for any protected characteristic beyond what the hiring location's law expressly permits

(i) misrepresent the Employer, the Client, the role, remuneration, sponsorship position or location, or tell a Candidate that YTC, Y-Axis or a score guarantees any outcome

(j) charge or attempt to recover any fee, deposit or cost from a Candidate

(k) use Candidate Data to solicit any Candidate for services unrelated to the Requisition, or approach Candidates on behalf of any organisation other than the Employer or its mandated Client or

(l) request or obtain through YTC messaging any document from a Candidate that the Candidate has not chosen to share, or that is not genuinely required for a live recruitment step for the Requisition (no document harvesting).

B4. Security and confidentiality

B4.1 The Employer will apply technical and organisational measures appropriate to the risk, including access limited to Authorised Users with a need to know, secure storage of any copy, encryption of Candidate Data in transit and at rest where held outside YTC, and prompt removal of access for departing staff.

B4.2 The Employer will notify Y-Axis at ytc.support@y-axis.com within 48 hours of becoming aware of any personal-data breach, loss or unauthorised access affecting Candidate Data obtained through YTC, will cooperate with Y-Axis's response, and will meet its own notification obligations to regulators and Candidates.

B5. Transparency to Candidates

B5.1 Y-Axis shows Candidates which Employers have viewed their profile, messaged them and (if enabled) downloaded their resume. The Employer agrees to being identified to Candidates in this way.

B5.2 Where the Employer holds Candidate Data outside YTC, it will give the Candidate its own privacy notice as its applicable law requires and will respond directly to Candidate rights requests (access, correction, deletion, objection, portability) about that copy within the time its law prescribes and in any case within 30 days. Y-Axis will refer Candidates to the Employer for such copies and supply the Employer's contact details.

B6. Retention and deletion

B6.1 Candidate Data viewed on the Platform must not be copied outside it except as B6.2 permits.

B6.2 The Employer may retain outside YTC only the Candidate Data necessary for a live application to a Requisition (and any legal record of that recruitment process), for no longer than 12 months after the Requisition closes, or any longer period the law of the hiring location requires for recruitment records, after which it must be deleted or irreversibly anonymised.

B6.3 On notice from Y-Axis that a Candidate has withdrawn discoverability, withdrawn an application or exercised a deletion right, the Employer will delete the Candidate Data it holds within 30 days, unless the Candidate has a live application in progress with the Employer or the Employer is legally required to retain it, in which case it will limit processing to that purpose and confirm the basis to Y-Axis on request.

B6.4 On termination of the Account, all Candidate Data must be deleted within 30 days except as B6.2–B6.3 permit, and the Employer will certify deletion on request.

B7. Cross-border processing

B7.1 The Employer acknowledges that Candidate Data originates in India and may relate to Candidates in other countries. The Employer will process it in the country of its establishment and will not transfer it onward except within the recruitment chain and under a lawful transfer mechanism.

B7.2 Where the Employer is established in the European Economic Area or the United Kingdom and receives Candidate Data relating to EEA/UK residents, the European Commission Standard Contractual Clauses (Module One, controller-to-controller) and, where applicable, the UK International Data Transfer Addendum are incorporated by reference for any onward transfer the Employer makes, with the Employer as data exporter.

B7.3 Y-Axis may restrict access from, or the display of Candidate Data to, any country the Government of India restricts under the Digital Personal Data Protection Act, 2023, or where Y-Axis reasonably determines that adequate protection is not available.

B7.4 GCC employers. Employers established in the United Arab Emirates or the Kingdom of Saudi Arabia acknowledge that they receive Candidate Data by cross-border transfer from India and are responsible for their own obligations under UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data or the Saudi Personal Data Protection Law, as applicable. Employers in Saudi Arabia further acknowledge the transfer conditions set by the Saudi Data and AI Authority (SDAIA) and will not transfer Candidate Data onward except as those conditions permit.

B8. Sub-processors and Clients

The Employer may allow only its own processors (for example its applicant-tracking system or background-check provider) to process Candidate Data, under written contract imposing obligations no less protective than this Part B, and remains fully liable for them. Agency Employers must bind each Client to this Part B before disclosing any Candidate Data and must record the mandate on the Platform.

B9. Records and evidence

For each Candidate whose data it retains outside YTC, the Employer will keep records of the Requisition, the date of access, the basis for retention and the date of deletion, and will produce them to Y-Axis on request under Clause 11.

B10. Remedies

B10.1 Breach of this Part B is a material breach entitling Y-Axis to suspend or terminate immediately, to notify affected Candidates and, where required, regulators, and to seek injunctive relief.

B10.2 For each instance of unauthorised disclosure, sale or bulk extraction of Candidate Data, the Employer will pay Y-Axis liquidated damages of ₹25,000–₹1,00,000 per affected Candidate, which the parties agree is a genuine pre-estimate of Y-Axis's loss, without prejudice to Candidates' own claims and to Y-Axis's other remedies.
